1. Service Description
IVAR Automation provides consulting services in automation and system integration. We analyze, design, and build custom automation solutions tailored to the client's business and needs. Our services include, but are not limited to: process analysis, solution design, implementation, testing, deployment, and ongoing support.
2. Scope and Deliverables
Each assignment is defined in a separate project proposal or agreement that specifies: • Scope and limitations • Deliverables and milestones • Timeline • Price and payment terms Work beyond the agreed scope requires written agreement between the parties.
3. Pricing and Payment
All assignments are priced on a project basis with a fixed price specified in the project proposal before work begins. No hidden costs will be added. Payment is made according to the terms specified in the project proposal, normally in advance or according to milestones. Invoices are due within 30 days unless otherwise agreed. Late payment is subject to late payment interest in accordance with Swedish law.
4. Intellectual Property
The client owns all rights to the deliverables created by IVAR Automation within the scope of the assignment after full payment has been made. IVAR Automation retains the right to use general methods, techniques, and knowledge developed during the assignment, provided that the client's confidential information is not disclosed.
5. Confidentiality
IVAR Automation treats all information about the client's business, processes, and data as confidential. We do not share the client's information with third parties without written consent, except as required to perform the assignment or as required by law.
6. Limitation of Liability
IVAR Automation's total liability under an assignment is limited to the amount paid by the client for the specific assignment. IVAR Automation is not liable for indirect damages, consequential damages, lost profits, or lost data, unless the damage was caused by gross negligence or willful misconduct.
7. Termination
Either party may terminate an ongoing assignment with 30 days' written notice. Upon termination, IVAR Automation is entitled to compensation for work performed up to the termination date. The client receives all deliverables that have been completed and paid for at the time of termination.
8. Warranty and Support
IVAR Automation warrants that delivered solutions function according to the agreed specification at the time of delivery. Defects discovered within 30 days after delivery will be corrected at no additional cost, provided the defect was not caused by the client's modifications or third-party integrations outside the scope of the assignment.
9. Governing Law and Dispute Resolution
These terms are governed by Swedish law. Disputes arising from these terms shall primarily be resolved through negotiation between the parties. If the parties cannot reach an agreement, the dispute shall be settled by the Stockholm District Court.
10. Changes to Terms
IVAR Automation reserves the right to update these terms. Significant changes will be communicated via our website. Terms in effect at the time of signing an agreement will continue to apply to that specific assignment.
